烽火通信科技股份有限公司（下称“烽火通信”或“公司”）作为国际知名的信息通信网络产品与解决方案提供商，始终致力于在全球商业行为中恪守最高的道德与诚信标准，严格遵循所适用的反贿赂和反腐败、公平竞争相关的法律法规及监管规定。
As an internationally renowned provider of information and communication products and solutions, FiberHome Telecommunication Technologies Co., Ltd. (hereinafter as “FiberHome” and “the Company”) is always committed to adhering to the highest standards of ethics and integrity in global business conduct, and strictly complying with applicable laws, regulations and regulatory requirements related to anti-bribery, anti-corruption, and fair competition.
烽火通信对任何形式的腐败和贿赂等违规行为均秉持零容忍态度，通过建立并不断完善和持续改进反商业贿赂合规管理体系，有效预防、遏制商业贿赂风险。无论在哪个国家开展业务，公司各部门、各子公司、驻外机构及所有员工应严格遵守公司各项反商业贿赂管理规定，始终秉持诚信、公开、透明的行为准则，严禁以影响另一方的行为或决定为目的，直接或间接地提供、给予、接受或要求任何有价之物或其他好处的行为。
FiberHome has zero-tolerance towards any form of bribery and corruption. The Company effectively prevents and deters commercial bribery risks by establishing and continuously improving and optimizing its anti-commercial bribery compliance management system. Regardless of the country in which the business is operated, all departments, subsidiaries, overseas branches and all employees of the Company should comply fully with FiberHome’s anti-commercial bribery management regulations, and operate with integrity, openness, and transparency. FiberHome forbids its departments, subsidiaries, overseas branches, and employees from offering, giving, receiving or soliciting gifts or anything of value directly or indirectly, in an attempt to improperly influence the other party’s action or decision.
公司遵守中华人民共和国反腐败、反不正当竞争相关法律、国资委、上级集团合规管理硬性规定；海外经营属地同步遵守当地反腐败、反贿赂适用法规。
The Company shall comply with all applicable laws and regulations of the People’s Republic of China relating to anti-corruption and anti-unfair competition, as well as mandatory compliance provisions issued by the State-owned Assets Supervision and Administration Commission of the State Council and its superior group company. For overseas operations, the Company shall abide by local applicable anti-corruption and anti-bribery laws and regulations.
公司确保属反贿赂职能部门，独立于所有业务条线，可直接向总裁、董事会汇报。
The Company ensures that its anti-bribery department is independent of all business lines and shall report directly to the President and the Board of Directors.
公司对所有违反本反贿赂方针、涉嫌贿赂及合规违规的行为实行零容忍，实行分层分类追责，覆盖在职员工、管理人员、第三方合作主体。
The Company has zero-tolerance towards any violation of its anti-bribery policy, suspected bribery and any other acts of non-compliance. Accountability shall be imposed in a tiered and categorized manner, covering all employees, management personnel, and third-party partners.
1.礼品与招待
1. Gifts and hospitality
在任何情况下，公司各部门、各子公司、驻外机构及全体员工均不得以谋取不正当利益为目的，直接或间接地向公职人员、客户或商业伙伴的员工或其配偶、子女和其他特定关系人赠送礼品或提供餐饮招待；或违反合理适度原则，提供价值过高或过于奢侈的礼品、违规提供奢侈的餐饮招待、观光旅游等；也不得向商业伙伴等合作方索要礼品或餐饮招待。
Under no circumstances should the Company’s departments, subsidiaries, overseas branches and employees, motivated by a corrupt intent, be allowed to directly or indirectly offer gifts or hospitality to public officials, customers, employees of business partners, or the spouse, children and other specific related persons of the aforementioned persons. The Company’s departments, subsidiaries, overseas branches and employees should neither provide gifts of excessive value or extravagance, extravagant meals and entertainment, and luxurious travel arrangements in violation of the Company’s regulations, nor solicit gifts or hospitality from business partners.
2.公益捐赠
2. Charitable donations
烽火通信坚持投身公益慈善活动，积极履行社会责任，以实际行动践行企业的责任与担当。公司严禁假借公益捐赠、赞助等形式，变相实施腐败贿赂的行为，或将公益捐赠与商业利益进行捆绑，在提供捐赠时附加可能影响公平竞争的附加条件等。对外开展公益捐赠等活动应当严格遵守公司规定，确保活动公开、透明、合法。
FiberHome has always been actively participating in public welfare and charitable activities, and fulfilling corporate social responsibilities. FiberHome forbids to use charitable contributions or sponsoring as disguise of corruptive activities, or to attach commercial interests to charitable activities by conducting donations accompanied by conditions undermining fair competition. All charitable contributions and sponsorships must be in line with applicable FiberHome policies and be carried out in an open, transparent and legitimate way.
3.第三方管理
3. Third-party management
第三方包括与烽火通信开展合作的供应商、经销商、代理商及其他商业伙伴。烽火通信始终坚持合法、合规、真实的原则与第三方开展合作，并要求第三方在与公司开展合作过程中，严格遵守公司各项反商业贿赂管理规定，依法合规地开展各项工作。第三方在以烽火通信名义开展工作或与烽火通信合作过程中，不得实施任何形式的腐败和贿赂行为。
Third parties include suppliers, dealers, agents, and other business partners cooperating with FiberHome. Cooperation between FiberHome and third parties must be authentic and legitimate. FiberHome requires its partners to comply with FiberHome’s anticorruption policies and conduct business in compliance with applicable rules. Third parties are forbidden to engage in any form of corruption and bribery when working in the name of FiberHome or cooperating with FiberHome.
4.账簿与记录
4. Books and Records
烽火通信严格遵守所适用的法律规定，依法依规进行会计核算，编制财务报告，确保财务账簿和记录完整、准确，严禁在财务账簿中作出不实或误导性的记录，禁止账外设账。烽火通信要求第三方在与公司开展合作过程中，依法建立内部会计体系，确保真实、准确、完整地记录与合作相关的所有交易，并妥善保存相应的会计凭证。
FiberHome fulfils accounting practice and prepares financial reports in strict compliance with applicable laws and regulations to ensure the completeness and accuracy of financial books and records. It is strictly forbidden to make false or misleading records in financial books or to create a second set of books. FiberHome requires third parties to establish internal controls and properly preserve corresponding accounting documents in accordance with applicable laws when cooperating with FiberHome, in order to ensure that all transactions with FiberHome are recorded authentically, accurately and completely.

烽火通信坚决抵制任何形式的腐败、贿赂行为，并接受社会公众监督，如果发现任何人疑似或者已经实施违反本声明的行为，请通过以下渠道举报：
